Terms of Service
These terms govern your use of Friday, the accounts payable service operated by Ashley Verdant Limited (a New Zealand company, trading as Friday). By creating a Friday account or by paying the onboarding fee, you agree to these terms.
1. The service
Friday monitors a Gmail inbox you connect, identifies incoming supplier bills, extracts the relevant fields, and creates draft bills in the Xero organisation you connect. Friday also records job costings and reconciles supplier statements as part of the same service.
Friday only ever creates drafts in Xero. Nothing is posted, paid, or sent on your behalf without your approval inside Xero.
2. Account and access
You must provide accurate information when you sign up, and keep your sign-in credentials secure. You are responsible for actions taken under your account.
Friday operates inside the OAuth scope you grant when you connect Gmail and Xero. You can revoke either connection at any time from your Friday dashboard or from inside Google or Xero. Revoking access immediately stops Friday from processing new bills.
3. Pricing and payment
- Onboarding fee: $750 (NZD, GST exclusive), payable once on activation. Covers the founder-led setup call: connecting Gmail and Xero, mapping your suppliers, and catching up the previous thirty days of bills.
- Subscription: 25c per bill drafted into Xero (NZD, GST exclusive), billed monthly in arrears based on the number of bills Friday successfully drafted that month. No flat fee and no minimum: a month with no drafted bills is not charged.
- Invoices are issued from Friday's Xero, payable on the due date stated on the invoice. Late payments may result in your account being paused until the balance is cleared.
- We may change pricing for new customers at any time. Existing customers will be given at least thirty days' written notice before any price change applies to their subscription.
4. Your responsibilities
You agree:
- To use Friday only for legitimate business purposes, on Xero organisations and Gmail accounts you have the right to administer.
- To review every draft Friday creates in Xero before approving it. Friday is a drafting assistant, not a bookkeeper or accountant — the final review and approval is yours.
- Not to attempt to reverse-engineer, scrape, or interfere with the operation of Friday or its underlying providers.
5. Your data
You own your data. Friday stores and processes your bill data only to provide the service to you. The full detail of what we collect and who processes it on our behalf is set out in our Privacy Policy.
If you cancel, your drafts already inside Xero stay inside your Xero — they belong to you. Friday retains your account and bill data subject to the retention period in the Privacy Policy.
6. Availability and accuracy
We aim to keep Friday running continuously, but we don't guarantee uninterrupted availability. The service depends on third parties (Gmail, Xero, Anthropic, our hosting providers) — outages in those services may cause delays.
Friday extracts bill fields using AI. We assign a confidence score to every extraction and route low-confidence bills into a review queue. You are responsible for the final accuracy of anything you approve in Xero.
7. Liability
To the maximum extent permitted by New Zealand law, Friday's total liability to you for any claim arising out of or relating to the service is limited to the fees you have paid us in the twelve months immediately before the claim.
We are not liable for indirect, consequential, or incidental loss — including lost profit, lost revenue, or loss of business opportunity — even if we have been advised that such loss might occur.
Nothing in these terms limits any rights you have under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986, where those Acts apply.
8. Termination
You may cancel your Friday subscription at any time by emailing hello@usefriday.co.nz. Cancellation takes effect at the end of your current paid month. The onboarding fee is not refundable.
We may suspend or terminate your account if you breach these terms, if your payments are more than thirty days overdue, or if we reasonably believe your use of Friday is unlawful. We will give you reasonable notice and an opportunity to fix the issue before terminating, unless immediate action is required.
9. Changes to these terms
We may update these terms over time. If we make a material change, we will give active customers at least thirty days' written notice. Continued use of Friday after the change takes effect means you accept the new terms.
10. Governing law
These terms are governed by the laws of New Zealand. Any dispute that can't be resolved by talking it through goes to the New Zealand courts.
